Public Offer

Version of 23.10.2026 · Snap&Vibe (snapandvibe.com) · [Company name]

This document is a public offer by [Company name] (hereinafter the “Contractor”) to enter into an agreement on the terms set out below with any person with full legal capacity or any organisation that has paid for a service on the website Snap&Vibe (snapandvibe.com) (hereinafter the “Customer”). Payment constitutes full and unconditional acceptance of this offer.

1. Terms

Service — the Snap&Vibe (snapandvibe.com) website and personal account, the Telegram bot and the related software of the Contractor.

Digital Twin — a digital image of the Customer (face and voice) created by neural network services from the Customer’s photos and voice recording.

Content Factory — the preparation and publication of videos, photos, posts, articles, stories and podcasts according to the Customer’s plan.

AI Agent — an assistant in the personal account and in Telegram that performs actions in the Customer’s account on the Customer’s instructions.

CRM — online booking, calendar, the Customer’s client database, analytics and notifications to clients.

Plan — a set of services for one month, assembled in the builder on the “Plans” page; tokens — an internal unit for accounting for the volume of content.

2. Subject

The Contractor provides the Customer with services chosen by the Customer: creation of a Digital Twin (digitisation); content management (Content Factory) within the scope of the Plan; access to the CRM, online booking, business card page and analytics; operation of the AI Agent; and, for a separate fee, advertising management (Section 10) and custom improvements beyond the limit (Section 9).

The Service operates using neural network services. The result of each generation may differ from expectations; videos and texts are a creative treatment and do not guarantee growth in sales or in the number of clients.

3. Price and Payment

Prices are those shown on the website or in the Telegram bot at the time of order. Payment is made through the payment provider indicated at checkout before the services are provided.

Digitisation of the Digital Twin is a one-time payment at the price shown on the website or in the Telegram bot at the time of order (on the “Plans” page and on the payment page). Digitisation includes: training a personal AI model on the Customer’s face; Digital Twin variants based on the Customer’s photos and refinement according to the Customer’s edits until approval — no more than 5 edits; final images of the Digital Twin in the following angles: front, 3/4 left and right, profile, waist-up and full-length; a sample of the Customer’s voice for voice-over; a digital profile (AI model, angles, voice) which the Customer downloads in the personal account as a single archive. The term is up to 3 hours after payment and after the Customer approves a Digital Twin variant.

As a gift with digitisation, without separate payment and outside the scope of the main service: the first video with the Digital Twin up to 15 seconds long and the first month of the Service. Gifts cannot be exchanged for money and do not affect the refund amount.

Generations (videos, photos, texts) are paid for separately at the prices shown in the calculator on the website on the date of generation; the price of each generation is shown before it is launched.

The Snap&Vibe service (Content Factory, publications, AI Agent, CRM and online booking, analytics) is paid monthly in advance at the price shown on the website or in the Telegram bot at the time of order; the first month is a gift with digitisation. The Plan includes up to 150 publications per month created and published through the Service.

Extended Plan — up to 300 publications per month, at the price shown on the website or in the Telegram bot at the time of order. During the gift first month, the Customer may switch to it by paying the difference shown on the website or in the Telegram bot; from the second month, the Extended Plan price applies. Unused publications are not carried over to the next month. Generations for publications are paid separately according to the calculator.

Discounts under promo codes and partner links are applied at the time of payment and cannot be combined.

3.1. Composition of the Subscription Fee

3.1.1. The subscription fee for the Snap&Vibe service includes content production: the Content Factory and assistance in creating content — scripts, an AI assistant in the personal account or in Telegram. The subscription fee includes:

3.1.2. The following are not included in the subscription fee and are paid separately:

All of the above are charged at the price shown on the website or in the Telegram bot at the time of order.

3.1.3. Services not listed in clause 3.1.1 are not included in the subscription fee.

3.2. How Generations Are Charged

3.2.1. Workflow. A video is made as follows: script → renders (key frames with the Customer’s Digital Twin) and voice-over in the Customer’s voice — the Customer views and listens to them and, if necessary, edits them before the video is made → video → publication after the Customer’s approval. Each publication has its own identifier (ID), shown in the personal account, in the Telegram bot and in the “Balance” section.

3.2.2. What the price consists of. Renders are added to each video: up to 8 frames for videos up to 1 minute, up to 15 frames for longer ones; as well as voice-over and a script. Two slide edits are added to each carousel. The price is calculated based on the maximum number of frames; if fewer frames were needed, less is charged. Additional edits (redrawing frames, re-recording voice-over, slide edits beyond two) are paid separately at the calculator prices.

3.2.3. Average cost. Approximate costs per reel, photo and carousel, as well as a typical monthly content spend, are shown in the calculator on the website (as a guide, not an obligation). Current prices are in the calculator (for one publication) and in the weekly content plan. Prices are approximate and are updated daily according to current neural network prices and exchange rates; the price on the date of generation is charged.

3.2.4. Only with the Customer’s knowledge. The price of a generation is communicated before it is launched. Amounts are debited from the balance only after the Customer’s confirmation (“yes” in the Telegram bot or a button in the personal account) or according to a content plan approved by the Customer within the Customer’s budget.

3.2.5. Telegram bot. The Service can be managed via the Telegram bot: ordering content, approving scripts, renders and voice-overs, viewing the content plan, balance and forecast, and topping up the balance. Confirmation in the bot is equivalent to confirmation in the personal account. Bot reminders can be switched off with the words “don’t write”.

3.2.6. Charges based on actual use. Each charge is displayed in the “Balance” section item by item: the publication and its ID, the date, line items (video, renders, voice-over, script, edits) and the total amount.

4. Procedure and Terms

Digitisation — up to 3 hours after payment and after the Customer approves a Digital Twin variant (preparation of variants, edits, final angles, training of the AI model).

Content is prepared according to the Customer’s plan and templates; publication takes place on schedule after the Customer’s approval, unless the Customer has enabled auto-publishing.

The Contractor may engage third parties and services (neural network, payment, hosting) and is liable for their actions as for its own within the limits of Section 12.

5. Approval, Edits and Defects

Nothing is published without the Customer’s approval, except where the Customer has enabled auto-publishing.

One edit of each video based on the Customer’s comments is included in the price; further edits are paid for with tokens.

Defects (distortion of the face, obvious artefacts, sound cut-off) are remade by the Contractor free of charge upon the Customer’s request within 7 days from the moment the video is ready.

When a generation is considered rendered. Each generation — video, photo, post, article, voice-over — is considered rendered at the moment the content has been created according to the Customer’s template or according to a script approved by the Customer. The cost is debited from the balance for the content actually created — according to the script, not according to the Customer’s expectations. Edits after generation are performed as a new generation and are paid separately at the calculator prices on the date of the edit. Defects caused by the Service (generation failure, content not matching the approved script) are remade free of charge. We are constantly improving our models and algorithms so that the generated content exceeds your expectations.

6. Customer Materials and Prohibitions

The Customer provides only their own photos and voice or materials of a person who has given written consent to the use of their image and voice, as required by applicable law. The Customer is responsible for this.

Materials and videos that violate the law or the rights of third parties, or that are misleading (including passing off the Digital Twin as a live recording where this is prohibited), as well as advertising lacking mandatory information, are prohibited. Before publication, the Service automatically checks materials for compliance with applicable law and may refuse to release them; payment for such material is refunded in tokens.

6.1. User Content and the Role of the Contractor

The Contractor is a technical intermediary (an aggregator of neural network services): it provides the Customer with tools with which images, videos, voice, texts and characters (hereinafter “user content”) are created at the Customer’s request and on the Customer’s instructions. The Contractor does not choose the topic, images or content of user content, does not initiate its publication and does not manually check each result.

The author of the task, the person who controls and the person responsible for user content is the Customer: the Customer is responsible for its content, its publication, compliance with the rights of third parties (to a person’s image and voice, to characters, works and trademarks), advertising law and platform rules.

The Customer warrants that it has the rights and consents for the uploaded materials and the images created. It is prohibited to create images of real people (including famous people) without their consent and to pass off generated content as the words or actions of a real person. Characters “in the style of” well-known works are created by the Customer at its own risk, without using other parties’ titles and trademarks in advertising.

If claims, lawsuits or fines are brought against the Contractor because of user content, the Customer shall settle them by its own means and reimburse the Contractor for the expenses incurred. Upon a substantiated complaint from a rights holder or a demand from a government authority, the Contractor may remove or block user content and suspend the Customer’s account, in accordance with applicable law.

The Contractor delivers finished materials to the Customer in Telegram or in the personal account and does not publish them itself. The Contractor is not liable for the distribution of materials by the Customer or by third parties (copying, forwarding, publication on any platforms, modification, removal of the watermark). The watermark indicates the creation tool and is not advertising. The Customer bears full responsibility for where and how it publishes finished materials and undertakes to comply with applicable law, including advertising law and any restrictions on the use of particular platforms.

7. AI Agent

The AI Agent performs in the Customer’s account the same actions that are available to the Customer (bookings, clients, publications, templates, settings), only on the Customer’s instructions given on the website or in Telegram. Every action is recorded in a log.

The AI Agent does not make payments, does not buy Plans or tokens, does not launch paid advertising and does not delete data without the Customer’s direct request. The Customer checks the result and may cancel the action.

8. CRM and Data of the Customer’s Clients

The Customer enters and uploads the personal data of its clients (name, phone number, email, date of birth, bookings, notes) into the CRM as the controller of that personal data. The Contractor processes it only on the Customer’s instructions — under the terms of the “Instruction on the Processing of Client Data”, which forms part of this offer.

The Customer warrants that it has obtained the necessary consents from its clients, including when uploading a database from a file, and that its clients have agreed to receive notifications (confirmation, reminder, rescheduling, cancellation, request for a review).

9. Custom Improvements

The Customer may add its own fields, statuses and settings to its account — this is done immediately, including via the AI Agent, and does not affect other users.

Requests for new features are accepted via the AI Agent or the “My Improvements” page. Within the Plan — up to 2 requests per month; the Contractor decides independently whether to implement a feature and within what time frame. Requests beyond the limit and major improvements are carried out by separate agreement and at a separate price. Before making an improvement, the Contractor saves a backup copy of the account settings.

10. Automated Advertising

The “Automated Advertising” option: using artificial intelligence, the Contractor creates and manages the Customer’s advertising campaigns on the advertising platforms supported by the Service (other platforms — on separate request): ads, keywords, audiences, images from the Customer’s materials, bids, switching off weak ads. Individual manual management is not included in the option.

Campaigns are placed in the Customer’s own advertising account; access can be revoked and advertising stopped at any time. The Customer pays the advertising budget directly to the platform — the Contractor does not accept advertising money and does not manage it.

The price is shown on the website or in the Telegram bot at the time of order and is charged per connected platform (management only, the budget is not included), monthly in advance. Disconnection takes effect from the beginning of the next paid month.

The advertiser is the Customer; the Customer is responsible for the accuracy of information about services and prices and for licences; advertising is labelled using the platform’s tools. The number of impressions, clicks, enquiries and bookings is not guaranteed.

11. Rights to the Result

Finished videos and texts belong to the Customer and may be used by the Customer for any lawful purposes without time limit. All videos and images created through the Service contain the “Snap&Vibe (snapandvibe.com)” watermark. The watermark may be removed only by agreement with the Contractor — separately for each Customer; the Contractor may refuse such a request.

The Contractor does not use the Customer’s image and voice for other customers and does not publish the Customer’s materials without consent. The Digital Twin model is stored for the duration of the Plan and for 6 months thereafter; on request it is deleted earlier.

12. Liability

The Contractor is responsible for providing services within the scope of the paid Plan. The Contractor’s liability is limited to the amount paid by the Customer for the last month.

The Contractor is not responsible for the content of user content or the consequences of its publication (Section 6.1). The Contractor is not responsible for interruptions in the operation of third-party platforms (social networks, advertising systems, messengers), blocking of the Customer’s accounts under platform rules, the content of texts provided by the Customer, or the consequences of publishing materials approved by the Customer.

Force majeure circumstances release the parties from liability for the duration of such circumstances.

13. Refunds and Termination

Digitisation is considered rendered at the moment the Digital Twin’s digital profile is ready and available to the Customer for download in the personal account. After that, payment for digitisation is non-refundable. Until that moment the Customer may cancel digitisation — the Contractor refunds the payment less the expenses actually incurred (generation of variants, model training), as confirmed by the Service’s data.

Content management: the Customer may cancel at any time; the refund is for the unused part of the month in proportion to the unspent tokens. Advertising — for a paid month that has not yet started.

Refund requests should be sent to [contact email]; money is returned to the card used for payment within 10 business days.

14. Partner Programme and Certificates

A partner receives a reward in the amount stated on the website for each first payment by a client who came via the partner’s link or promo code; the client receives the discount stated on the website. Cancelled and refunded payments are not counted. A partner who sells Snap&Vibe gift certificates to its audience receives a reward in the amount stated on the website for each paid certificate. Payouts are made on request, with no minimum amount, to the bank details of an individual or a self-employed person.

Gift certificates that the Customer issues to its clients in the CRM are the Customer’s own obligations to its clients; the Service only keeps records of them.

15. Miscellaneous

The Contractor may amend this offer; a new version takes effect from the moment of publication, and for a paid period — from the beginning of the next one. Disputes are resolved through negotiations, with a claim response period of 10 business days, and thereafter in court at the Contractor’s location. Governing law: [governing law to be specified].

Integral parts of this offer: the Terms of Use, the Privacy Policy, the Consent to the Processing of Personal Data, Photos and Voice, the Instruction on the Processing of Client Data, and the Cookie Policy.
